Welcome to TradieOS. These Terms of Service ("Terms") govern your access to and use of the TradieOS platform, website, and services (collectively, the "Service") operated by Struxa Pty Ltd (ABN pending) ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using TradieOS, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

TradieOS is a cloud-based software-as-a-service (SaaS) platform designed for Australian trade professionals. The Service provides tools for quoting, invoicing, job management, client relationship management, crew scheduling, safety documentation, and trade-specific calculators. Features available to you depend on your subscription tier.

3. Account Registration

To use the Service, you must create an account using our authentication system. You agree to provide accurate and complete information during registration and to keep your account credentials secure. You are responsible for all activity that occurs under your account.

You must be at least 18 years of age to create an account. If you are under 18, you may only use the Service with the involvement of a parent or legal guardian who agrees to these Terms.

4. Subscription Plans and Payment

4.1 Free Tier

TradieOS offers a free tier with limited features. Free tier users may access basic quoting and calculator tools subject to usage limits.

4.2 Paid Subscriptions

Paid subscription plans (Tradie, Pro, Business) are billed monthly or annually as selected at checkout. All prices are in Australian Dollars (AUD) and are inclusive of GST where applicable. Payment is processed securely through Stripe.

4.3 Trial Period

New users may receive a 60-day free trial of paid features. At the end of the trial, you will be downgraded to the free tier unless you subscribe to a paid plan. No credit card is required for the trial.

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods. If you believe you have been charged in error, contact us at [email protected] within 14 days of the charge.

5. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorised access to any part of the Service or its systems
Interfere with or disrupt the integrity or performance of the Service
Upload or transmit viruses, malware, or other harmful code
Use the Service to send unsolicited communications (spam)
Reverse engineer, decompile, or disassemble any part of the Service
Resell, sublicense, or redistribute the Service without our written consent
Use automated tools to scrape, mine, or extract data from the Service

6. Your Data

6.1 Ownership

You retain ownership of all data, content, and materials you upload to or create within the Service ("Your Data"). We do not claim ownership of Your Data.

6.2 Licence to Us

By using the Service, you grant us a limited, non-exclusive licence to store, process, and display Your Data solely for the purpose of providing and improving the Service. This licence terminates when you delete Your Data or close your account.

6.3 Data Export

You may export Your Data at any time using the export features available within the Service. Upon account termination, we will retain Your Data for 30 days to allow for export, after which it may be permanently deleted.

7. Intellectual Property

The Service, including its design, code, features, logos, and documentation, is owned by TradieOS Pty Ltd and is protected by Australian and international intellectual property laws. These Terms do not grant you any rights to our trademarks, branding, or proprietary technology.

8. AI-Generated Content

TradieOS uses artificial intelligence to assist with quote generation, document creation, and other features. AI-generated content is provided as a starting point and should be reviewed by you before use. We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose. You are solely responsible for verifying and approving all content before sending it to clients or using it in your business.

9. Third-Party Services

The Service may integrate with third-party services (e.g., Stripe for payments, email providers). Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Limitation of Liability

To the maximum extent permitted by Australian law, Struxa Pty Ltd and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from your use of or inability to use the Service.

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Indemnification

You agree to indemnify and hold harmless Struxa Pty Ltd and its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Confidentiality and NDA

Any proprietary information, trade secrets, business processes, or technical details of the Service that are not publicly available constitute confidential information. You agree not to disclose, reproduce, or use such confidential information for any purpose other than using the Service as intended. Breach of this confidentiality obligation may result in account suspension or termination. We reserve the right to seek appropriate remedies for any breach of this clause.

14. System and Site Protections

You acknowledge that the Service contains proprietary technology, algorithms, and systems. Any attempt to circumvent security measures, reverse engineer the platform, extract source code, or exploit vulnerabilities is strictly prohibited and may result in account termination. Such conduct may also constitute an offence under applicable Australian law, including the Criminal Code Act 1995.

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections 6, 7, 10, 11, 12, 13, 14, and 16 survive termination.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

17. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
